Confirmation Statements Explained

If you are running a limited company, you will at some point receive a letter from Companies House requesting you to submit a confirmation statement. This is not your year end accounts. Companies House ask you to submit a confirmation statement annually to ensure the details they have about the company are up to date. You need to send a confirmation statement every 12 months even if the company is dormant.

Remember – even if nothing has changed, you still need to check your company’s details and verify that they’re all correct.

How to file a confirmation statement form

Companies House says that completing your confirmation statement form online is the easiest way to send them the information.

If you need to make changes to your company’s information, you can do so in the ‘additional information’ section of the online form. Use it to update your:

  • Standard Industrial Classification (SIC) code
  • statement of capital
  • trading status of shares
  • exemption from keeping a register of people with significant control
  • shareholder information

What’s the confirmation statement fee?

The fee for filing the confirmation statement online is £13.00.

You can file a paper from which will cost you £40.

When do I need to send a confirmation statement?

You can check on the Companies House website to see when your confirmation statement is due. Simply click on the “start now” button and enter the company registration number or company name which will take you to your company’s information. Here you can check the registered address, who the directors are, date of incorporation, the next year end accounts due date and the next confirmation statement date.

What if my confirmation statement is overdue?

You need to make sure you send your confirmation statement on time otherwise your company and its officers could be prosecuted – with your company struck off the register.
